Terms and Conditions
These terms and conditions govern the provision of industrial architectural visualisation services by StratumCGI. By commissioning work from StratumCGI or using this website, you agree to be bound by these terms.
1. Definitions
In these terms:
- StratumCGI, we, or us means StratumCGI, a UK-based 3D architectural visualisation studio.
- Client, you, or your means the person, company, or organisation commissioning or receiving services from StratumCGI.
- Project means the industrial CGI work commissioned under a project brief, including all deliverables, renders, and associated materials.
- Deliverables means all CGI images, animations, models, files, and materials produced by StratumCGI as part of the agreed project scope.
- Project Brief means the agreed written scope of work, including deliverables, timeline, views, format, and applicable revision rounds.
2. Project Brief and Scope
Each project begins upon written confirmation of a project brief by both parties. The project brief defines the deliverables, required views, file formats, delivery timeline, and applicable revision rounds. Any work outside the agreed scope requires a separate written brief or change order, subject to additional fees.
The client is responsible for providing accurate drawings, specifications, site data, and brief requirements at the start of the project. Delays or inaccuracies in client-provided materials may affect the agreed delivery timeline.
3. Quotations, Fees and Payment Terms
3.1 Quotations
StratumCGI shall provide a written quotation following review of the project brief. Unless otherwise stated in writing, quotations are valid for a period of thirty (30) days from the date of issue and may be revised or withdrawn thereafter. Acceptance of a quotation by the Client, whether in writing, by conduct, or by instruction to commence work, shall constitute a binding agreement on the terms of the quotation and these Terms and Conditions.
3.2 Fees and VAT
All fees are stated in pounds sterling (GBP) and are exclusive of value added tax (VAT). VAT shall be charged at the prevailing rate where applicable and shall be shown separately on each invoice. All bank charges, currency conversion costs, and intermediary fees in respect of payment from non-United Kingdom accounts shall be borne by the Client in full.
3.3 Standard Payment Stages
Unless otherwise agreed in writing, fees for commissions valued at up to ten thousand pounds (£10,000) shall be paid in two stages as follows:
- Stage 1 (Commencement): fifty per cent (50%) of the total project fee, payable upon acceptance of the quotation and prior to commencement of any chargeable work.
- Stage 2 (Final delivery): fifty per cent (50%) of the total project fee, payable upon delivery of the final approved deliverables.
3.4 Staged Payments for Larger Commissions
For commissions exceeding ten thousand pounds (£10,000) in value, or where the project programme exceeds six (6) weeks in duration, payment shall be effected in three stages unless otherwise agreed in writing:
- Stage 1 (Signature): forty per cent (40%) of the total project fee, payable upon acceptance of the quotation and prior to commencement.
- Stage 2 (Model milestone): thirty per cent (30%) of the total project fee, payable upon the Client's approval of the draft 3D model or equivalent interim milestone.
- Stage 3 (Final delivery): thirty per cent (30%) of the total project fee, payable upon delivery of the final approved deliverables.
Each stage shall be invoiced upon completion of the corresponding milestone and shall become due and payable in accordance with clause 3.5.
3.5 Payment Period
All invoices shall be payable in cleared funds within thirty (30) days of the date of invoice. Payment shall be made by electronic bank transfer (BACS or equivalent) to the account nominated by StratumCGI on the invoice. Payment by cheque, card, or other means is accepted only by prior written agreement and any associated processing fees shall be borne by the Client.
3.6 Deposit and Non-Refund
The Stage 1 payment shall constitute a non-refundable deposit securing StratumCGI's time, programme allocation, and preparatory work. In the event that the Client cancels, or materially reduces the scope of, the commission after acceptance of the quotation, the Stage 1 payment shall be retained by StratumCGI in full, without prejudice to any further sums due in respect of work carried out up to the date of cancellation in accordance with clause 10 (Termination).
3.7 Late Payment, Interest and Compensation
The parties acknowledge that the commissions contemplated by these Terms are commercial transactions within the meaning of the Late Payment of Commercial Debts (Interest) Act 1998 (as amended). Where any invoice remains unpaid in whole or in part after the due date specified in clause 3.5, StratumCGI shall be entitled, without further notice and without prejudice to any other right or remedy:
- to charge statutory interest on the overdue sum at the rate of eight per cent (8%) per annum above the Bank of England official bank rate in force from time to time, such interest to accrue on a daily basis from the due date until the date of actual payment in full, whether before or after judgment;
- to claim fixed sum compensation in respect of each unpaid invoice pursuant to section 5A of the Late Payment of Commercial Debts (Interest) Act 1998, being £40 where the debt is less than £1,000, £70 where the debt is £1,000 or more but less than £10,000, and £100 where the debt is £10,000 or more; and
- to recover all reasonable costs of collection, including legal fees and debt recovery charges, which exceed the fixed sum compensation referred to above.
3.8 Right of Suspension
Without prejudice to any other right or remedy, StratumCGI reserves the right to suspend performance of the services, withhold delivery of any draft or final deliverables, and revoke any licence granted under clause 7, where any invoice remains unpaid more than seven (7) days after its due date. Any delay or additional cost arising from such suspension shall be borne by the Client in full.
3.9 Disputed Invoices
Any dispute in respect of an invoice must be raised by the Client in writing within fourteen (14) days of the invoice date, specifying in reasonable detail the nature and basis of the dispute. The undisputed portion of any invoice shall remain payable in accordance with clause 3.5. Invoices not disputed within the said fourteen-day period shall be deemed accepted as correct.
3.10 Set-Off
All sums payable by the Client under these Terms shall be paid in full without any set-off, counterclaim, deduction, withholding, or abatement, save as required by law.
3.11 Purchase Orders and Extended Payment Terms
This clause applies where the Client is a corporate entity operating an accounts payable process, purchase order system, supplier onboarding requirement, or procurement portal (including without limitation Coupa, Ariba, Tungsten, SAP Fieldglass, or equivalent).
3.11.1 Purchase order requirement. Where the Client operates a purchase order system, a valid and duly authorised purchase order, referencing the accepted quotation and in a sum not less than the total quoted fee, shall be issued to StratumCGI prior to the commencement of any chargeable work. StratumCGI shall be under no obligation to commence, continue, or complete any work in the absence of such purchase order, and any delay arising from the Client's failure to issue a timely purchase order shall not constitute a default on the part of StratumCGI.
3.11.2 Client billing information. The Client shall provide, in writing and prior to commencement, the following information in respect of each commission: the legal name and registered address of the billing entity, the VAT registration number (where applicable), the purchase order number, the cost code or internal project reference (where applicable), the name and email address of the accounts payable contact, and the details of any mandatory invoicing portal. Any rejection, return, or delayed processing of an invoice arising from the Client's failure to supply accurate information shall not operate to extend the due date for payment under clause 3.5.
3.11.3 Extended payment terms. Any payment period exceeding the thirty (30) days provided for in clause 3.5 shall apply only where expressly agreed in writing between the parties prior to acceptance of the quotation. Where extended payment terms of forty-five (45), sixty (60), or ninety (90) days are agreed, StratumCGI reserves the right to apply a finance uplift to the total project fee, such uplift to be disclosed on the quotation and accepted by the Client in writing. In the absence of such written agreement, the thirty-day period in clause 3.5 shall apply and any longer period stated in the Client's standard purchase terms shall have no effect.
3.11.4 Supplier onboarding and portal costs. Any cost, fee, or charge imposed on StratumCGI by or in connection with the Client's supplier onboarding process or invoicing portal (including registration fees, transaction fees, and third-party platform charges) shall be borne by the Client, either by reimbursement or by addition to the relevant invoice.
3.11.5 Preservation of statutory rights. Nothing in these Terms, in any purchase order issued by the Client, or in any standard terms and conditions of the Client shall be construed so as to exclude, restrict, or vary the statutory rights of StratumCGI under the Late Payment of Commercial Debts (Interest) Act 1998 (as amended), save to the extent permitted by section 9 of that Act by the provision of a substantial contractual remedy in writing. In the event of any conflict between these Terms and the Client's standard purchase terms, these Terms shall prevail unless expressly varied by a written instrument signed by an authorised representative of StratumCGI.
3.11.6 Advance invoicing on approval. Where staged payments apply under clause 3.4, StratumCGI may issue the final stage invoice upon the Client's approval of the final draft deliverables, with release of the production files conditional upon receipt of payment in cleared funds. This allows the Client's internal payment processing period to run in parallel with, rather than following, the final delivery step.
4. Revisions and Amendments
Each project includes a defined number of revision rounds as agreed in the project brief. Standard projects include three rounds of revisions covering materials, landscaping, vehicles, lighting, and minor compositional adjustments.
Substantive amendments to the scope of work, including changes to the number of views, structural modifications to the CGI model, changes to the planning application scheme, or additions to the agreed view set, are charged at the applicable day rate or as agreed in a change order.
Revisions must be submitted in writing. Verbal revision requests are not binding unless confirmed in writing by both parties.
5. Delivery and Timelines
Delivery timelines are agreed in writing as part of the project brief and reflect the complexity, view count, and stage of the proposed development. Smaller projects with a limited view set may complete within 10-14 working days. Larger projects, developments requiring extensive context modelling, or projects covering multiple buildings and phases typically require longer timelines.
StratumCGI provides a project timeline estimate before commencement. This estimate is based on the information available at the time of the brief and is subject to revision if the scope changes or if client input is delayed.
StratumCGI is not liable for delays caused by late client input, late submission of materials, changes to the project brief, or circumstances beyond our reasonable control. In such cases, the delivery timeline adjusts proportionally.
Final deliverables are delivered electronically in the formats agreed in the project brief. Physical delivery of printed materials is not included unless specified.
6. Intellectual Property
Upon receipt of full payment, intellectual property rights in the deliverables transfer to the client for the agreed use case specified in the project brief.
StratumCGI retains intellectual property rights in the underlying 3D models, working files, scene setups, and proprietary assets. The client may not resell, sublicense, or transfer the working files to third parties without prior written consent.
StratumCGI retains the right to display completed deliverables in portfolio, marketing materials, and promotional content unless the client has specified in writing that the project is confidential and subject to a non-disclosure agreement.
Where confidentiality is required for planning submissions, the client must notify StratumCGI in writing prior to project commencement. StratumCGI will not publicly display confidential deliverables for the duration of the agreed confidentiality period.
7. Client Materials and Warranties
The client warrants that all materials provided to StratumCGI, including drawings, specifications, site data, and reference images, are owned by or licensed to the client and do not infringe the intellectual property rights of any third party.
The client indemnifies StratumCGI against any claims arising from the use of client-provided materials.
8. Planning and Regulatory Compliance
CGI deliverables produced by StratumCGI are created to support planning applications and commercial use. The client is responsible for ensuring deliverables meet the specific requirements of the relevant planning authority.
StratumCGI produces CGI to reflect the submitted scheme accurately. StratumCGI is not responsible for planning decisions made by planning authorities or for changes to planning policy that affect the planning application outcome.
9. Confidentiality
StratumCGI treats all project information, client communications, and unpublished deliverables as confidential. Confidential information is not disclosed to third parties without the prior written consent of the client, except as required by law.
A separate non-disclosure agreement may be executed at the request of either party prior to project commencement.
10. Use of Website
The StratumCGI website, including all content, graphics, CGI images, logos, and software, is the property of StratumCGI and protected by UK and international copyright law. You may use the website for lawful purposes only. You may not reproduce, distribute, modify, or transmit any website content without prior written consent.
You may not use the website in any way that damages, disables, or overburdens it, or that interferes with any other party use of the website.
11. Disclaimers
The website is provided on an "as is" and "as available" basis. StratumCGI makes no representations or warranties of any kind, express or implied, regarding the accuracy, completeness, or reliability of the website content.
CGI visualisations represent proposed developments as described in the client brief. Deliverables are not a substitute for technical drawings, structural engineering assessments, or planning submissions. The client is responsible for verifying the accuracy of deliverables against the submitted scheme.
12. Limitation of Liability
To the maximum extent permitted by law, StratumCGI shall not be liable for any indirect, incidental, consequential, or punitive damages, including without limitation loss of profit, loss of revenue, loss of business, or loss of data, arising from the use of or inability to use the deliverables or services.
The total aggregate liability of StratumCGI under any project agreement shall not exceed the total fees paid by the client for the relevant project.
13. Indemnification
The client agrees to indemnify and hold harmless StratumCGI, its directors, employees, and subcontractors from any claims, damages, losses, or expenses arising from the client breach of these terms, the client use of deliverables outside the agreed scope, or any third-party claims relating to client-provided materials.
14. Termination
Either party may terminate a project agreement with 14 days written notice. Upon termination, the client is liable for all work completed up to the termination date, calculated on a pro-rata basis or at the agreed project stage rate.
Upon full payment, the client receives deliverables for all completed work. StratumCGI retains intellectual property rights in incomplete deliverables and working files.
15. Force Majeure
StratumCGI is not liable for delays or failure to perform caused by circumstances beyond reasonable control, including but not limited to natural disasters, power failures, software failures, third-party service interruptions, and acts of war or terrorism. In such cases, the delivery timeline extends proportionally.
16. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or from services provided by StratumCGI are subject to the exclusive jurisdiction of the courts of England and Wales.
17. Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
18. Entire Agreement
These terms and conditions, together with the project brief and any applicable quotation, constitute the entire agreement between the parties and supersede all prior discussions, representations, and agreements.
19. Amendments
StratumCGI reserves the right to update these terms and conditions from time to time. Updated terms apply to new projects commenced after the date of update. Continued use of the website constitutes acceptance of any updated terms.
